This End User License Agreement (the "EULA") applies to each person who downloads, installs, accesses, or uses a FieldScroll web or mobile application (the "Application") for a business customer (the "Customer"). This EULA is incorporated into the agreement between Licensor and the Customer that authorized your access. By installing, signing in to, or using the Application you ("you") agree to this EULA as an Authorized User of Customer. If you do not agree, do not access or use the Application and tell Customer's administrator.
1. Relationship to Customer agreement
You may use the Application only as an employee, contractor, or other person authorized by Customer. Customer's Order Form and the FieldScroll Terms of Service govern the organization-level subscription. If this EULA conflicts with that agreement, the organization-level agreement controls for Customer's rights and obligations, and this EULA controls your personal use restrictions.
You represent that you are at least 18 years old, have authority to use the Application for Customer, and will follow Customer's policies and instructions. The Application is for business use, not personal, family, or household use.
2. License grant
Subject to this EULA and Customer's active Order Form, Licensor grants you a limited, revocable, nonexclusive, nontransferable, non-sublicensable license to install and use the Application on devices you own or control, or that Customer authorizes you to use, solely for Customer's permitted business workflow.
The Application is licensed, not sold. Licensor and its licensors reserve all rights not expressly granted. Your license ends when Customer removes your access, the Order Form ends, this EULA terminates, or you stop being an authorized user.
3. User account and device security
Use your own account. Do not share credentials, authentication codes, sessions, or a device profile with another person. Protect the device with reasonable security controls, install updates, and promptly notify Customer and Licensor of suspected compromise, loss, or unauthorized access.
You are responsible for activity performed through your account until you report a suspected compromise. Customer may remove your access at any time. Licensor may suspend access, end active sessions where the platform supports it, or require additional security controls that Licensor actually makes available, to protect the Application or Customer Data. Multi-factor authentication is not currently offered.
4. Permitted use and restrictions
You may capture, review, approve, export, or route records only within the role and workflow Customer authorizes. You must verify entries, attachments, signatures, location data, and outputs before submitting or relying on them.
You may not copy the Application except for a lawful backup; rent, lease, sell, sublicense, redistribute, or make it available outside Customer; reverse engineer, decompile, disassemble, discover source code, modify, or create derivative works except to the limited extent law prohibits that restriction; bypass security or usage controls; access another customer's environment; scrape or automate access except through an authorized API; upload malicious code; conduct security testing without written permission; or use the Application unlawfully or to violate another person's rights.
You may not use the Application for emergency response, life/safety decisions, regulatory filing, payment processing, medical diagnosis, autonomous employment or credit decisions, or another high-risk use unless Customer's signed Order Form expressly authorizes that use and Licensor confirms the required controls.
5. Data, device permissions, and offline use
The Application may request access to the camera, photo library, and location when a form Customer has configured needs them. Location is captured only when a form contains a location field and you choose to capture it; the Application does not record your location in the background or with every submission. Every submission from the mobile Application includes your device model, operating system and version, and application version, which become part of the record. Your device settings may limit permissions, but some features may not work without them.
Drafts and queued records may be stored on the device while offline. Protect the device, do not remove the Application or clear its storage while unsynced work remains, and confirm successful synchronization before treating a submission as delivered. Mobile operating systems, connectivity, storage limits, and device controls can affect offline behavior. Data cached on your device is protected by your device's own storage encryption and passcode, not by separate encryption inside the Application. When Customer removes your access or you leave Customer, sign out and delete the Application's local data as Customer directs, after confirming that unsynchronized work has been submitted.
Customer owns or controls business records submitted through your account. Licensor processes personal information and technical evidence as described in the Customer agreement and the FieldScroll Privacy Notice at https://www.fieldscroll.com/privacy. Submit only data Customer authorizes and do not submit Restricted Data unless the Customer agreement expressly permits it.
6. Updates and availability
Licensor may provide patches, updates, upgrades, configuration changes, or replacements. You may need to install an update to continue using the Application. Early Access, beta, pilot, and preview features may be incomplete, change, or be discontinued.
The Application may depend on app stores, mobile operating systems, cloud providers, email, identity services, integrations, and Customer systems. Licensor does not control every third-party service and does not promise uninterrupted or error-free operation.
7. Intellectual property and feedback
Licensor and its licensors own the Application, FieldScroll service, documentation, interfaces, designs, code, updates, trademarks, and related intellectual property. Customer retains its Customer Data and Customer materials as stated in the Customer agreement.
If you provide suggestions, diagnostic information, or feedback, Licensor may use it without restriction or compensation, provided Licensor does not disclose Customer Confidential Information or identify you publicly without permission.
8. Confidentiality
The Application may expose Customer Confidential Information and nonpublic FieldScroll features. Use that information only for Customer's authorized work, protect it with reasonable care, and do not disclose it except as Customer authorizes or law requires.
9. Suspension and termination
Customer or Licensor may suspend or revoke your access if you are no longer authorized, violate this EULA, create a security risk, use the Application unlawfully, or if Customer's Order Form ends. On termination, stop using the Application, sign out, and remove it from personal devices when Customer directs, subject to preserving unsynced business records and legal retention instructions.
Sections on ownership, confidentiality, disclaimers, limitations, disputes, and provisions that by their nature should survive will survive termination.
10. Warranty disclaimer
TO THE FULLEST EXTENT PERMITTED BY LAW, THE APPLICATION, EARLY ACCESS FEATURES, OUTPUT, AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE." LICENSOR DISCLAIMS IMPLIED OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, DATA RECOVERY, UNINTERRUPTED OPERATION, AND ERROR-FREE OPERATION. THE CUSTOMER AGREEMENT MAY PROVIDE A LIMITED ORGANIZATION-LEVEL WARRANTY; YOU RECEIVE NO ADDITIONAL PERSONAL WARRANTY UNDER THIS EULA.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LICENSOR AND ITS PERSONNEL WILL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES; LOSS OF DATA, GOODWILL, OR BUSINESS; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES.
ANY LIABILITY ARISING FROM YOUR USE OF THE APPLICATION IS SUBJECT TO THE CAPS AND ALLOCATION OF RISK IN CUSTOMER'S AGREEMENT. IF THOSE CAPS DO NOT APPLY TO A DIRECT CLAIM BY YOU, LICENSOR'S AGGREGATE LIABILITY TO YOU WILL NOT EXCEED $100 OR THE MINIMUM AMOUNT REQUIRED BY LAW, WHICHEVER IS GREATER. NOTHING LIMITS LIABILITY THAT CANNOT LEGALLY BE LIMITED.
12. Legal compliance and disputes
You will comply with applicable law, export-control and sanctions requirements, third-party terms, wireless/data-plan terms, and Customer policies. You represent that you are not prohibited from receiving the Application under applicable sanctions or export law.
The laws of the Commonwealth of Virginia govern this EULA without regard to conflict-of-law rules. Except where law prohibits it, disputes will follow the escalation, mediation, and arbitration process in Customer's FieldScroll Terms of Service.
13. Apple App Store addendum
If you obtain the Application through Apple's App Store: this EULA is between you and Licensor, not Apple; Apple is not responsible for the Application, maintenance, support, warranties, product claims, legal compliance, or intellectual-property claims; the license is limited to use on Apple-branded products you own or control as permitted by the Apple Media Services Usage Rules, including any permitted Family Sharing or volume purchasing; if a legally required warranty is not met, you may notify Apple and Apple may refund the purchase price, if any, and Apple has no other warranty obligation to the maximum extent permitted by law; you must comply with applicable third-party terms; and Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you after your acceptance.

14. Google Play and other distributors
If you obtain the Application through Google Play or another distributor, this EULA is between you and Licensor, not the distributor. The distributor is not responsible for the Application, support, warranty, claims, or legal compliance except to the extent its own terms expressly state otherwise. You must comply with the distributor's applicable rules and your device and network terms.
15. Changes, electronic acceptance, and contact
Licensor may update this EULA. Licensor will give notice of a material change to Customer's contract contact under the Customer agreement, and Customer will make the current version available to you. Prior versions are preserved and available on request. Your continued use after Customer has made the updated version available is use under the updated EULA.

Corporate acknowledgement for attached pilot packages
When this EULA is attached to a signed Pilot Order Form, Customer acknowledges that it will make this EULA available to each Authorized User before or at the time access is granted, is responsible for its Authorized Users' compliance, and will not instruct a user to bypass its restrictions. The Pilot Order Form signature incorporates this EULA; no separate user or Customer signature is required.
